TERMS & CONDITIONS OF USE 1.1

Please read this Member Agreement (referred to as the “Agreement”) carefully before enrolling as a member of the Dentistryzone.comTM website. This Agreement explains the terms and conditions of use that govern the use of the Dentistryzone.com website and the services that we may offer (referred to as the “Site”) and it is your responsibility to read and to understand.

By using the Site, you agree to be bound by these terms and conditions of use including but not limited to the Privacy Policy (see below) and other usage guidelines and rules that may be posted from time to time, all of which are incorporated herein by reference, and to follow the terms and conditions of use and all applicable laws and regulations governing the Site. If you do not agree, do not enter or use the Site. Otherwise, all users or members that become members of the Site and fail to comply strictly with any of the trems and conditions herein will be subject to cancellation of their membership end related account, at Dentistryzone.com’ sole discretion.

Dentistryzone.com may update the terms and conditions of use from time to time. You are responsible for verifying this page periodically for changes and updates to the terms and conditions of use. Your use of the Site following any posted change(s) to the terms and conditions of use will be deemed an acceptance of such change(s).

The Site is controlled and offered by Dentistryzone.com from its facilities in North America. Dentistryzone.com makes no representations that the Site is appropriate or available for use in other locations. Those who access or use the Site from other jurisdiction do so at their own violation and are responsible for compliance with local law. This Site is not intended for use by persons under the age of 18.

2. Contribution of members to the Site

The sole purpose of Dentistryzone.com’s Site is to provide a reference portal for dental professionals and persons and companies involved in the fields of dentistry and dental hygiene which givies the opportunity to share their knowledge. Dentistryzone.com provides its members with the opportunity to contribute to the Site. You understand that all information, data, text, links, articles, software, photographs, graphics, video, music, sound, messages, presentations, conferences, podcasts or other materials posted by you on the Site (refered to as “User Content”), whether publicly posted or privately transmitted, are the sole responsibility of you or other users posting or transmitting such User Content. This means that you, and not Dentistryzone.com, are entirely responsible for all User Content that you upload, post, email, or otherwise transmit via the Site. It is your obligation to ensure that no copyright, trademark, trade secret, publicity or privacy rights, or other intellectual property rights are being violated by your posting or transmission of any User Content via the Site.

Dentistryzone.com does not have the obligation to control or pre-screen the User Content posted via the Site or sent to another user and, as such, does not guarantee the accuracy, integrity, appropriateness, or quality of such User Content. The User Content posted by users or other third parties does not necessarily represent the views or opinions of Dentistryzone.com and under no circumstances will Dentistryzone.com be liable in any way for any User Content, including, but not limited to, any loss or damage of any kind incurred as a result of the use of any User Content posted, emailed, or otherwise transmitted via the Site.

Users can be held liable for any illegal or prohibited User Content they provide to the Site or to other users, including, for example, infringing, defamatory, or offensive materials. So that the Site is available for all users to enjoy, you may not, and hereby represent and warrant that you will not, post, transmit, email or otherwise make accessible on or through the Site User Content that:

1. Is unlawful, harmful, threatening, tortuous, defamatory, libelous, abusive, disparaging, pedophilic, pornographic, obscene, invasive of another’s privacy, hateful, or malicious;
2. Contains hate propaganda or promotes discrimination or violence against any people on account of their race, national origin, religion, age, gender, disability, or sexual orientation;
3. Is or could be harmful to minors;
4. Promotes information that you know is false, misleading, or promotes illegal activities or conduct;
5. Is or promotes an illegal or unauthorized copy of another person’s work, such as providing pirated computer programs or links to them, or providing information to circumvent manufacture-installed copy-protect devices;
6. Infringes any patent, copyright, trademark, service mark, trade secret, or other proprietary right of any other party;
7. Contains restricted password only access pages, or hidden pages or images (those not linked to or from another accessible page);
8. Provides material that exploits people under the age of 18 in a sexual or violent manner, or solicits personal information from anyone under 18;
9. Provides instructional information about illegal activities such as making or buying illegal weapons, or providing or creating computer viruses;
10. Contains a software virus or any other code files or programs that are designed to or have the ability to interrupt, destroy, compromise, or otherwise limit the functionality of any computer software or hardware or telecommunications equipment whether owned by Dentistryzone.com or any other party;
11. Solicits passwords, or personal identifying information for commercial or unlawful purposes from other users; or
12. Otherwise violates any local, state, national or other applicable laws or regulations;
13. Contains or promote information or have conduct contrary to the laws, regulations, by-laws and/or code of ethics which apply to the dental professionals and persons and companies involved in the fields of dentistry and dental hygiene.

In addition, you may not, in connection with your use of the Site:

1. Impersonate any person or entity, including a Dentistryzone.com officer or employee, or falsely misrepresent your affiliation with any other person or entity;
2. Forge headers or otherwise manipulate identifiers for the purpose of disguising the origin of any User Content posted or transmitted through or on the Site;
3. Engage in commercial activities and/or sales without the Site’s prior written consent including, without limitation, contests, sweepstakes, or advertising;
4. Post or transmit any content that you do not have the right to post or transmit;
5. Post or submit unsolicited commercial e-mail, chain letters, pyramid schemes, or seek or encourage others to engage in these activities;
6. Disrupt the ordinary flow and operation of any portion of the Site, including causing a screen to scroll faster than another User may be able to type in a chat room or bulletin board environment;
7. Interfere with or disrupt the Site or any server or network involved with the operation of the Site;
8. Stalk or harass any other person; or
9. Share information of a kind you would wish to be held confidential in a dentist-patient or similar clinical relationship
10. Collect or “harvest” from the Site the names of other users for the purpose of transmitting to those other users’ unsolicited commercial messages.

If you discover this kind of material or activity on the Site, please notify us at info@dentistryzone.com with “Illegal User Content” written in the subject title.

3. Sponsors

Dentistryzone.com gives its members the opportunity to gather information on different subjects and make contact with different sponsors that have posted advertisement on the Site. Our relationship with our sponsors is based on specific criteria that have been determined between Dentistryzone.com and the sponsor. All information regarding a sponsor has been provided by the sponsor and remains its sole and entire responsability.

We contract with Sponsors for a fee and such fee is not based on the volume or value of any services Sponsors may or may not provide to our users. We do not endorse, credential or accredit the services our Sponsors advertise and make no representations or warranties about the type of services, quality of care, source of payment or billing practices of our Sponsors. We do not verify or update the licenses, accreditations, certifications or other permits and approvals of any Sponsor. You are responsible for all activities between you and a Sponsor.

Dentistryzone.com provides its sponsors with general statistical information of the site.

4. Hyperlinks and Search Results

The Site may provide hyperlinks and automatically produce search results, or third parties may provide information, that reference or hyperlink to other external Websites or resources. Dentistryzone.com has no control over such sites and resources, and you acknowledge and agree that Dentistryzone.com is not responsible for the content or information contained therein. Dentistryzone.com cannot and does not guarantee, represent, or warrant that the content or information contained in such third-party sites is accurate, legal and/or inoffensive. Dentistryzone.com does not endorse the content or information of any third-party sites or resources, and further does not warrant that such sites or resources will not contain viruses or otherwise impact your computer. By using the Site to search for or hyperlink to another site, you agree and understand that Dentistryzone.com shall not be responsible or liable, directly or indirectly, for any damages or loss caused or alleged to be caused by or in connection with your use of, or reliance on, the Site to obtain search results and/or to link to another site.

However, if you have a problem with a hyperlink from the Site, please let us know at info@dentistryzone.com with “Hyperlink” written in the subject title.

5. Information on the Site

Dentistryzone.com strives to be a valuable resource of timely information for our users. We cannot ensure that information we provide is accurate, thorough or complete on every subject or that it will necessarily include all of the most recent information available on a particular topic. The information does not constitute or subsitute a professional advice or an opinion on any issue treated on the Site. The information may, as a result of the passage of time, change or become no longer up to date. Although we endeavor to ensure the accuracy of the information, it should not be relied upon without receiving advice from a dental professional or a specialist involved in the fields of dentistry or dental hygiene. In that regard, no information accessible on the Site shall ebe construed an advice or a recommandation but is available for informative purposes only. Users should never delay, ignore or fail to obtain medical or professional advice based on information obtained from the Site.

6. Intellectual Property Rights

The content on the Dentistryzone.com’ Site, except most User Contents (as defined below), including without limitation, the text, software, scripts, graphics, photos, sounds, music, videos, interactive features and the like (”Proprietary Content”) and the trademarks, service marks and logos contained therein (”Marks”), are owned by or licensed to Dentistryzone.com, subject to copyright and other intellectual property rights under Canada laws and international conventions related thereto. Proprietary Content on the Site is provided to you as is, for your information and personal use only, and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of Dentistryzone.com or the respective owners.

Dentistryzone.com reserves all rights not expressly granted in and to the Site and the Proprietary Content. You agree to refrain from using, copying, or distributing any of the Proprietary Content other than expressly permitted herein, including any use, copying, or distribution of User Contents of third parties obtained through the Site for any commercial purposes. If you download or print a copy of the Content for personal use, you must retain all copyrights and other proprietary notices contained therein. You agree not to avoid, disable or otherwise interfere with security related features of the Site or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Site or the Content therein.

If you believe that your work has been copied in a way that constitutes copyright infringement, please provide us with the following information:

• An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
• A detailed description of the copyrighted work that you claim has been infringed;
• A detailed description of where the material that you claim is infringing is located on the Site;
• Your address, telephone number, and email address;
• A written statement by you that you have a good faith belief that the dispute use is not authorized by the copyright owner, its agent, or the law;
• A written statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on the copyright owners behalf.

Dentistryzone.com will only accept a signed, written notice of the claimed infringement, which includes all the information requested above.

7. Online Commerce

The Site may allow you to purchase many different types of products and services online that are provided by us (the Wares and Services). When ordering Wares and Services on the Site, you must provide complete and accurate personal information consisting of your name, company (when applicable), address, telephone number, e-mail address, credit card information and shipping address, as well as any other information requested.

Your receipt of an electronic form or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. Your submission of an order to us shall be deemed to constitute an offer to purchase, which shall remain open for a reasonable time, unless we agree otherwise, and will be deemed to be accepted by us only upon shipment of the Wares and Services. Dentistryzone.com, in its sole discretion, reserves the right at any time after receipt of your order, without prior notice to you, to supply less than the quantity you ordered of any item. Dentistryzone.com, in its sole discretion, reserves the right at any time after receipt of your order, to accept or decline your order for any reason.

You acknowledge and agree that the price of the Wares and Services is subject to change without notice and that the Wares and Services are subject to availability. The sale of the Wares and Services is void where prohibited by law. Dentistryzone.com, in its sole discretion, shall have the right, at any time after receipt of your order, to decline your order for any reason. In the event that the Wares and Services are listed at an incorrect price, due to a typographical error or an error in pricing information, Dentistryzone.com, in its sole discretion, shall have the right at any time after receipt of your order, to decline your order.

The Site may allow you to purchase many different types of products and services online that are provided by third parties (the Third-Party Merchandise and Service). Dentistryzone.com is not responsible for the legality, quality, accuracy, timeliness, reliability or any other aspect of any Third-Party Merchandise and Service. If you make a purchase from a third-party Web site hosted by the Site or linked from the Site, the information obtained during your visit to any third-party Web site and the information that you give, such as your credit card number and contact information, is collected by the third-party Web site and not by Denistryzone.com.

8. Eligibility Cash Back

Members must be human: no machines, scripts, or automated services may be used to accumulate any financial benefits derived from the use of Dentistryzone.com. You may maintain only one account. Any duplicate accounts will be subject to cancellation.

This cash back program (the “Program”) is only available via access to the Dentistryzone.com Site. You must have Internet access and an email address to be eligible to receive the privileges and benefits of membership. Dentistryzone.com is not responsible for your inability to connect to the Internet, log into the Dentistryzone.com Site, or access your Dentistryzone.com account.

Members that make a qualify cash back purchase with a Dentistryzone.com affiliated merchant need to send all related invoice from the merchant to cashback@dentistryzone.com or to our mailing address in order to get recognition of that purchase and get cash back.

8.1 Accrual of dicounts Cash back section

8.1.1 You will be credited, subject to the terms and conditions enumerated in this Agreement, a percentage of the net purchases made by you at one of the online merchants affiliated with Dentistryzone.com (an “Affiliated Merchant”). The percentage will be enumerated on the Site as it relates to each Affiliated Merchant. The net purchase is defined as the total amount paid to the merchant minus tax, gift wrapping, shipping, promotional credits, returns, cancellations, and transaction fees or as the Affiliated Merchant defines on their respective website and as is enumerated in their respective Affiliate Membership and/or Operating Agreement document, whichever is less. All Affiliated Merchant Membership and/or Operating Agreements as they relate to their affiliate or partner programs with Dentistryzone.com and which reside on the Affiliated Merchant’s respective websites are hereby incorporated into this Agreement by reference.

8.1.2 As a Member, purchases made through Dentistryzone.com Affiliated Merchants will be deemed a “Qualified Purchase” and will be subject to earn a cash back reward if and only if all of the following criteria are satisfied: a) “Cookies”, both first and third party (if applicable), must be enabled on your Web browser. b) All potential Qualified Purchases must begin by clicking on the Affiliated Merchant’s link that appears on the Site and being successfully connected to the Affiliated Merchant’s website based upon that click. c) Dentistryzone.com may, at all times, route your request for a merchant site through specific links, in order to assure that the sale can be tracked correctly. Any alteration of these links will invalidate your sale, which will not be deemed a Qualified Purchase. d) All purchases must be started and completed in one shopping session within the Dentistryzone.com shopping program. If you start a purchase, then complete it in a different session, you will be ineligible for a rebate. e) Items must not be returned. If they are, the initial purchase will be invalidated and not be deemed a Qualified Purchase.

8.1.3 The determination of whether or not a purchase made through a Dentistryzone.com Affiliated Merchant is a “Qualified Purchase” is at the sole discretion of Dentistryzone.com.

8.1.4 Cash back rewards awarded to members are subject to adjustments for returns, cancellations, and other events. Such adjustments can be applied to members at any time by Dentistryzone.com at its sole discretion. Should you disagree with any adjustments made to your account, your sole remedy is to withdraw from the Program.

8.1.5 You may be taxed on your accrual of cash back rewards, depending on the amount of cash back rewards you accrue and the tax laws of federal, state, and local jurisdictions. Dentistryzone.com may choose to provide you with those notices on occasion. In all instances, you will be solely responsible for any and all tax liability arising out of your accrual or redemption of cash back rewards.

8.1.6 It is your responsibility to make sure that you have received cash back related to your purchase. If you do not believe that a cash back reward has been correctly send to you, you must wait at least 30 days but no more than 90 days after the due date of the payment of the cash back (payment schedule). Furthermore, all cash back rewards earned by members are subject to review. Necessary adjustments may be applied to member request at any time. If you do not agree to adjustments made to your request, your only recourse will be to terminate your membership in the Program.

8.1.7 Dentistryzone.com is not responsible for changes to, or discontinuance of, any Affiliated Merchant, or any Affiliated Merchant withdrawal from the Program, or for any effect on accrual of cash back rewards caused by such changes, discontinuance, or withdrawal. Dentistryzone.com is not responsible for changes to, or discontinuance of, any special offer or coupon code at an Affiliated Merchant site. It is the Member’s responsibility to make sure that all specials are valid.

8.2. Payment Schedule

8.2.1 Every three months Dentistryzone.com sends to its members the Cash Back that they have earned, provided that the member has earned at least $5.01 in Cash Back Rewards. If the member has earned less than $5.01 Cash Back, Dentistryzone.com will carry the member’s money over to the next check. Accrued cash back rewards will be dispersed to the Members around X dates. See your profile on the Site for more details. In order for an accrued cash back reward to be eligible for payment on the above dates, the Qualified Purchase must occur 45 days prior to the payment date (by June 30th for a August 14th payment, September 30th for an November 14th payment, December 31st for a February 15th payment, March 31st for an May 15th payment). Note that the cash back reward payment date may vary depending on the merchants return policies.

8.2.2 It is your responsibility to keep your account information current in order to facilitate the payment of your cash back rewards. In the event that your information is not current at the time of payment, you forfeit all accrued cash back rewards to Dentistryzone.com. If an error occurs in payment, Dentistryzone.com customer service will assist members in determining the cause of any non-payment. If it has been determined that non-payment was caused by a process error in payment automation or other cause that was our fault, all accrued cash back rewards will be re-paid to you in full.

9. Warranty Disclaimer

YOU AGREE THAT YOUR USE OF THE DENTISTRYZONE.COM SITE SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, DENTISTRYZONE.COM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF. DENTISTRYZONE.COM MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SITE’S CONTENT OR THE CONTENT, USER CONTENT OR THE CONTENT OF ANY WEBSITES HYPERLINKED TO THE SITE AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY:

1. ERRORS, MISTAKES, OR INACCURACIES OF CONTENT,
2. PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SITE,
3. ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN,
4. a) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SITE, b) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SITE BY ANY THIRD PARTY, AND/OR
5. ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SITE.

DENTISTRYZONE.COM DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SITE OR ANY HYPERLINKED WEBSITE OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND DENTISTRYZONE.COM WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

10. Limitation of Liability

IN NO EVENT SHALL DENTISTRYZONE.COM, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY :

1. ERRORS, MISTAKES, OR INACCURACIES OF CONTENT,
2. PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SITE,
3. ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN,
4. a) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SITE, b) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH THE SITE BY ANY THIRD PARTY, AND/OR
5. ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

YOU SPECIFICALLY ACKNOWLEDGE THAT DENTISTRYZONE SHALL NOT BE LIABLE FOR USER CONTENTS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

11. Indemnity

You agree to indemnify and hold Denstrityzone.com, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against Dentistryzone.com by any third party due to or arising out of or in connection with your use of the Site.

12. Passwords

To use certain features of the Site, you may also need a username and password, which you will receive when registring to obtain a membership. You are responsible for maintaining the confidentiality of your password and account, and are responsible for all activities that occur under your password or account. You agree to notify Dentistryzone.com immediately of any unauthorized use of your password or account or any other breach of security, and to ensure that you exit from your account at the end of each session. Dentistryzone.com cannot and will not be liable for any loss or damage arising from Dentistryzone’s failure or your failure to protect your password or account information.

13. Termination

Dentistryzone.com may at any time, without notice, in its sole discretion and without cause, terminate your membership an/or your right to access or use the Site (or any portion thereof). Dentistryzone.com may also terminate your right to access and use the Site, or any portion thereof, if you breach any term or condition of this Agreement.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, ANY FRAUDULENT, ABUSIVE, OR OTHERWISE ILLEGAL ACTIVITY WILL BE GROUNDS FOR TERMINATION OF THIS AGREEMENT.

14. Governing Laws: Dispute Resolution

These terms and conditions are governed by the laws of the Province of Quebec and the applicable laws of Canada and these laws apply to the use of the Site or the User Content sent by you, regardless of your domicile, residency or physical location. The Site and the Content are intended for use only in jurisdictions where it may lawfully be offered for use. You agree to the personal jurisdiction by and venue in the provincial and federal courts in the judicial District of Montreal, Canada, and waive any objection to such jurisdiction or venue. In the event of any controversy or dispute between Dentistryzone.com and you arising out of or in connection with your use of the Site, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days), then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.
